Acceptance of Terms

This End User License Agreement (“Agreement”) is a legally binding contract between you (“User,” “you,” or “your”) and AI Metrologist LLC, a limited liability company organized under the laws of the State of Kansas (“AI Metrologist,” “Company,” “we,” “us,” or “our”), governing your use of the MetTutor.ai platform, application, content, and all related services (collectively, the “Service”).

By accessing or using the Service — including by creating an account, clicking “I Agree,” or otherwise manifesting assent — you acknowledge that you have read, understood, and agree to be bound by this Agreement and all policies incorporated herein by reference, including the MetTutor.ai Privacy Policy.

If you are accessing the Service on behalf of an organization, employer, educational institution, or other legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement, in which case “you” refers to that entity and all individuals accessing the Service under that entity’s account.

AI Metrologist LLC reserves the right to modify this Agreement at any time. Material changes will be communicated via email or prominent notice within the Service at least thirty (30) days prior to the effective date of the change. Continued use of the Service following the effective date of any modification constitutes acceptance of the revised Agreement.

Definitions

As used in this Agreement, the following terms have the meanings set forth below:

• “Agreement” means this End User License Agreement, together with all policies, guidelines, and supplemental terms incorporated by reference.
• “AI Metrologist LLC” means the company developing and operating MetTutor.ai, organized under the laws of the State of Kansas.
• “Service” means the MetTutor.ai platform accessible at mettutor.ai/tutor, including all learning modes (Concept, Problems, Exam Prep, Documents), the MetLibrary, AI tutoring functionality, export tools, educator tools, APIs, and all associated software, content, and features.
• “MetLibrary” means the proprietary, curated knowledge base developed by AI Metrologist LLC containing structured representations of international metrology standards that powers MetTutor’s AI-generated responses.
• “User Content” means any data, text, files, documents, or other materials that you upload, submit, or otherwise transmit to the Service.
• “Subscription” means a paid or free-tier access plan granting you rights to use the Service.
• “Metrology Institute” means the organization in support of which AI Metrologist LLC develops and maintains the Service.

License Grant

Subject to your compliance with this Agreement and payment of all applicable fees, AI Metrologist LLC hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal, educational, or internal professional purposes as permitted by your active Subscription plan.

3.1 Permitted Uses

Under this license you may:

• Access and use the Service through supported web browsers and devices for learning, professional development, exam preparation, and metrology education purposes;
• Upload documents to the Service for analysis as permitted by your Subscription plan;
• Export Service outputs in the formats made available by your Subscription plan for your personal, professional, or organizational use;
• Use exported competency records and training outputs in your organization’s quality management system and accreditation documentation, subject to the disclaimer in Section 8;
• Embed the MetTutor AI agent into your LMS as expressly permitted under a Training Program or Enterprise Subscription plan.

3.2 Scope of License

This license does not convey title or ownership. The Service, MetLibrary, underlying AI models, software, and all related intellectual property remain the exclusive property of AI Metrologist LLC.

Restrictions on Use

You agree that you will not, directly or indirectly:

• Reverse engineer or attempt to derive the source code, algorithms, structure, or MetLibrary content of the Service;
• Reproduce, resell, or redistribute MetLibrary content or AI-generated responses as your own proprietary training material or competing product;
• Scrape, crawl, or systematically extract content from the Service through automated means;
• Circumvent access controls or attempt to gain unauthorized access to any portion of the Service;
• Use the Service to develop a competing AI-powered metrology education product or knowledge base;
• Misrepresent Service outputs as certified or officially endorsed by any standards or accreditation body;
• Upload malicious content or files designed to interfere with the operation of the Service;
• Share account credentials with unauthorized individuals or allow concurrent multi-user use of a single-user Subscription.

Accounts and Access

5.1 Account Registration

To access the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5.2 Eligibility

You must be at least thirteen (13) years of age to use the Service. If you are under eighteen (18) years of age, your parent or legal guardian must review and agree to this Agreement on your behalf.

5.3 Subscription Plans and Fees

Subscription fees are charged in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law. AI Metrologist LLC reserves the right to modify fees upon thirty (30) days’ prior written notice.

Intellectual Property

6.1 Ownership

The Service, MetLibrary, all AI models, software, interfaces, designs, logos, trademarks, and content are and remain the exclusive intellectual property of AI Metrologist LLC. All rights not expressly granted under this Agreement are reserved.

6.2 Trademarks

“MetTutor,” “MetTutor.ai,” “AI Metrologist,” “MetLibrary,” and associated logos are trademarks of AI Metrologist LLC. Nothing in this Agreement grants you the right to use any AI Metrologist trademark without prior written consent.

6.3 Feedback

If you provide feedback or suggestions regarding the Service, you grant AI Metrologist LLC a perpetual, irrevocable, royalty-free, worldwide license to use such feedback without obligation to you.

User Content

7.1 Your Rights

You retain all ownership rights in User Content you upload. By uploading User Content, you grant AI Metrologist LLC a limited, non-exclusive, royalty-free license to process and analyze your User Content solely for the purpose of providing the Service to you.

7.2 No Training Use

AI Metrologist LLC will not use your User Content to train, fine-tune, or develop AI models without your express written consent. User Content is processed solely to provide the requested Service functionality during your session.

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AI METROLOGIST LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

AI Metrologist LLC makes no warranty that MetTutor AI-generated responses are error-free, complete, or suitable for any specific compliance, certification, or accreditation purpose. Competency records and other outputs are provided for educational purposes and do not constitute professional metrology consulting or a guarantee of compliance with any standard or accreditation requirement.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AI METROLOGIST LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF OR INABILITY TO USE THE SERVICE.

In no event shall AI Metrologist LLC’s total cumulative liability to you exceed the greater of: (a) the total fees paid by you in the twelve (12) months preceding the claim; or (b) one hundred United States dollars (USD $100.00).

Indemnification

10.1 User’s Indemnification Obligation

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless AI Metrologist LLC and its members, managers, officers, employees, agents, licensors, successors, and assigns (collectively, the “Indemnified Parties”) from and against any and all claims, actions, suits, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to:

• your access to or use of the Service, including any use that violates this Agreement;
• your User Content, including any claim that your User Content infringes, misappropriates, or violates the intellectual property rights, privacy rights, or other rights of any third party;
• your violation of any applicable law, regulation, or third-party right in connection with your use of the Service;
• your reliance on any Service output — including AI-generated answers, uncertainty budgets, competency records, or other exported materials — for any compliance, accreditation, certification, or professional purpose;
• any misrepresentation by you regarding your authority to bind an organization to this Agreement; or
• any dispute between you and any third party, including your employer, educational institution, accreditation body, or regulatory authority, arising from your use of the Service or its outputs.

10.2 Indemnification Procedure

AI Metrologist LLC will: (a) promptly notify you in writing of any claim for which indemnification is sought; (b) grant you sole control of the defense and settlement, provided that AI Metrologist LLC reserves the right to participate in the defense at its own expense and to approve any settlement that imposes obligations on or adversely affects AI Metrologist LLC; and (c) provide you with reasonable cooperation and assistance in connection with the defense, at your expense.

10.3 Survival

Your indemnification obligations under this Section shall survive any termination or expiration of this Agreement and your cessation of use of the Service.

Privacy and Data Protection

Your use of the Service is subject to the MetTutor.ai Privacy Policy, available at mettutor.ai/privacy, which is incorporated into this Agreement by reference. AI Metrologist LLC does not sell your personal information to third parties. User Content and session data are not used for advertising purposes.

Organizations may request a Data Processing Agreement (DPA) by contacting legal@mettutor.ai.

Term and Termination

12.1 Term

This Agreement commences on the date you first access the Service and remains in effect until terminated.

12.2 Termination by You

You may terminate this Agreement at any time by canceling your Subscription and ceasing all use of the Service.

12.3 Termination by AI Metrologist LLC

AI Metrologist LLC may suspend or terminate your access to the Service immediately, without prior notice or liability, upon material breach of this Agreement, violation of applicable law, or discontinuation of the Service.

12.4 Survival

Sections 6, 7.2, 8, 9, 10, 12.4, and 13 shall survive any termination or expiration of this Agreement.

Governing Law and Dispute Resolution

13.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri, United States of America, without regard to its conflict of law provisions.

13.2 Arbitration

Disputes not resolved through informal negotiation shall be resolved by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, with proceedings conducted in Wichita, Kansas.

13.3 Class Action Waiver

YOU AND AI METROLOGIST LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

General Provisions

This Agreement constitutes the entire agreement between the parties regarding the Service. If any provision is held invalid or unenforceable, the remaining provisions continue in full force. No waiver of any right shall constitute a waiver of any other right. You may not assign your rights without AI Metrologist LLC’s prior written consent. The Metrology Institute is an intended third-party beneficiary of this Agreement.
